Voting on the Proposed Amendment to the SCCS Bylaws

Since our annual meeting in May will be focused on worship and celebration, we are calling a special meeting to address the important work of our governance structures and updating our bylaws.  

Guided by the Center for the Advancement of Christian Education out of Dordt University (CACE), we’ve reviewed our bylaws against Christian school standards nationwide and received valuable recommendations. As part of this process, we’ve built a profile of a board member that we believe will raise the bar for board membership.  As we seek to raise the bar in this way it will be extremely important to build continuity with our board during this important time of transition and growth.  Our current term limit structure requires that board members step off the board after a four year term.  This presents challenges for continuity and turnover and also sometimes limits our ability to retain board members with unique sets of needed skills. As such, we’re proposing a by law change that would allow directors to serve subsequent two-year terms following their initial four-year term. As you’ll see in the attached FAQ document, we have worked hard to ensure we have a system of accountability in place to ensure mission alignment and an operating standard of excellence among our board.  



The SCCS Association Board proposes amending Article V – Board of Directors, Section 5.4.2 – Terms of Office Nomination.

Current Language:  A Director will serve a four-year term and shall not be eligible for re-election for a consecutive term.

Proposed Language:  A Director will serve a four-year term and shall be eligible for subsequent two-year terms, based on board and association approval.

Bylaw change FAQs

  1. How will this change help the Association?
Answer: We are in the midst of a strategic plan, a capital campaign, updating facilities, and the early tenure of a new Superintendent. This change will provide leadership continuity throughout this important time of transition and growth. This will also enable skilled and engaged board members who are guiding projects to see them through to successful completion. 

  1. Who will determine which outgoing board members are presented to the Association for approval to serve a subsequent two-year term?
Answer: The Governance Committee, who is already charged with bringing nominees for board approval and association election, will use the same vetting process for four-year term candidates as well as the two-year term candidates. The Governance Committee, in consultation with the Executive Committee, will evaluate if the skill set and engagement of an outgoing board member are critical to the Association going forward. An outgoing board member would also need to agree to have their name on the slate for an additional two years before being presented to the Board or Association for approval. 

  1. If passed, how will we avoid having board members stay on the Board forever, with no change?  
Answer: The Governance Committee will balance the need for continuity with the need for new voices, perspectives, and representation.  They will be entrusted with evaluating the make-up of the board to ensure it is well equipped to meet the upcoming challenges and goals of the Association.  

  1. Is there a maximum length of time a board member can serve on the Board? 
Answer: There would not be a limit placed on the number of terms a Board Member may serve. That said, the Governance Committee would carefully and critically consider a Board Member’s extension based upon their skill set, influences, and effectiveness as it relates to current and future goals of the Association.

  1. Will there be a combination of both new and returning board members on the slate for approval every year?   
Answer: This would depend on how many board spots are open and what skill sets are needed. There could be a combination of both new candidates and retained board members, or it could be all new candidates, or all retained board members. The goal of the Governance Committee would be to ensure there is a balance of representation, voices, continuity, and effective leadership to serve the Association.

  1. What happens if a board member is up for re-election and is on the Governance Committee?
Answer:  That board member would have to recuse themselves from the voting process. 

  1. Why are there no maximum subsequent years for re-elected board members?
Answer: We don’t want to limit a term if the board/school is in the middle of an important project that the board member is needed for their expertise.  We want to remain a high functioning board with consistency. However, retained board members would have to be voted in by the current board and Association.   

  1. What will happen if this bylaw change is not approved by the members of the Association?  
Answer: The Board will continue to do the work it is entrusted with, but will risk losing momentum, efficiency, and continuity as effective board members must leave the Board because their term has ended.

Association Members are invited to vote on the proposed amendment to the bylaws.  A vote will be taken in person at the Special Meeting:

Members not attending the meeting are encouraged to vote via the  electronic Absentee Ballot - see below.  Absentee Ballots must be submitted by April 4th in order to be validated and counted.
